Senior Legal Counsel

Support and oversee the Group’s corporate structure and governance activities across multiple jurisdictions. Ensure Group companies comply with internal and external corporate governance requirements. Maintain accurate corporate records and draft, review and file corporate documentation. Develop and update corporate governance policies, Group policies and procedures. Support M&A transactions and the post-acquisition integration of newly acquired entities. Provide legal advice and contract support to departments including Sales, Business Development, Engineering, IT, HR, Finance and Procurement. Advise and train directors and employees on corporate governance responsibilities and legal obligations. Manage and guide paralegals, identify legal risks and prepare reports on the Group’s corporate activities. Bachelor’s or Master’s degree in Law; other relevant degrees or professional certifications are advantageous. At least 8 years of in-house legal experience covering commercial law, corporate law and governance. Experience within the engineering or construction industry is preferred. Familiarity with Swiss corporate law, governance models and legal entity management tools is advantageous. Fluent English is mandatory; German or other European languages are an advantage. Strong analytical and problem-solving skills, with excellent attention to detail and organisation. Excellent written and verbal communication skills, with the ability to explain complex legal matters clearly. Independent and collaborative working style, with strong leadership, relationship-building and risk-management capabilities.
